Introduction
At Sherpa Bookkeeping, our approach is simple: clear analytics, practical advice, and guidance over glory. Our role is to maintain accurate financial records and provide insights that help reveal what matters most in your business.
This agreement outlines the services we will provide, our shared responsibilities, and the terms of our engagement so expectations are clear from the outset.
01 Letter of Engagement
Thank you for choosing Sherpa Bookkeeping to support your business.
This Agreement outlines the terms of our engagement and the services we will provide. This Agreement continues until terminated in writing.
Scope of Services
Sherpa will provide bookkeeping and/or advisory services as selected by you and outlined in the following packages.
Services include:

Bank, credit card and loan reconciliations

Accounts payable and receivable management

Payroll processing and compliance

BAS/IAS preparation and lodgement (as a registered BAS Agent)

Superannuation processing

Management reporting
-
General ledger maintenance

Year-end support and liaison with your tax agent
Services outside the agreed package will be quoted separately or may require a tier upgrade. Sherpa may use cloud-based and AI-assisted systems to deliver services efficiently.

Software & Third Parties
Sherpa may recommend or facilitate software integrations but is not responsible for third-party system failures or outages.
Termination
Either party may terminate this Agreement with 30 days’ written notice. Immediate termination may occur for non-payment, breach, or misconduct. Outstanding fees remain payable upon termination.
Confidentiality
All client information will be kept confidential unless disclosure is required by law or authorised by the Client.
Limitation of Liability
To the extent permitted by law:

Liability is limited to fees paid in the preceding 3 months

Sherpa is not liable for indirect or consequential losses
Sherpa is not responsible for penalties resulting from incomplete or incorrect client information.
Professional Standards & Variations
Sherpa provides bookkeeping and advisory services only and does
not provide audit, taxation, legal or financial product advice unless
agreed in writing.
Service tiers may be varied with 30 days’ written notice.

Your Monthly Service Fee would be: per month
This fee is based on the current transaction volume and scope discussed. Final pricing may be adjusted if the transaction volume materially changes.
Software subscriptions (such as Xero or rostering systems) are additional where applicable.

Payroll & Compliance
- Payroll completed every Tuesday, STP lodged and payroll finalised.
- SGL released following payroll processing.
- PAYG and superannuation obligations reconciled and proactively managed.
- BAS/IAS and agreed statutory obligations prepared and lodged by Sherpa where applicable within the engagement.
- Compliance calendar maintained, with amounts and deadlines advised to management with sufficient notice.
- Any obligation that is overdue or at risk of becoming overdue escalated immediately.
- Payments requiring client authorisation remain the client's responsibility.
Weekly Finance Management
- Bank, credit card, payment gateway and key clearing accounts reconciled weekly.
- Accounts payable and receivable reviewed, with overdue or material items identified.
- Cash position and upcoming commitments reviewed weekly.
- Management alerted to material short-term cash pressure, significant statutory payments or other upcoming commitments requiring attention.
- Material finance, compliance or reconciliation exceptions escalated when identified rather than held until month end.
- No formal weekly Operational Intelligence report is included.
Cin7, Inventory & COGS
- Cin7 ↔ Xero financial reconciliation maintained following Cin7 implementation.
- Inventory balances reconciled between systems.
- Maintain integrity of inventory valuation, purchases and COGS.
- Review stock movements, adjustments and material reconciliation exceptions.
- Support accurate product and channel margin reporting.
- Material mapping, valuation or integration exceptions identified and escalated.
Operational Intelligence – Monthly
A comprehensive Monthly Operational Intelligence Report providing management with financial and commercial visibility, including:
- Revenue vs budget/forecast
- P&L and balance sheet performance
- Gross margin and COGS
- Channel performance and profitability
- Actual vs budget
- Cash flow and forward cash position
- Inventory value and stock health
- Labour performance
- Debtors, creditors and working capital
- Statutory compliance status
- Cin7/Xero reconciliation status
- KPI dashboard
- Commentary on material movements, risks and opportunities
- Priority actions requiring management attention
Month-End Finance & Sign-Off
- Complete month-end reconciliations and review.
- Review P&L and balance sheet integrity.
- Investigate material variances, unusual transactions and outstanding reconciliation items.
- Ensure financial information is reliable before management reporting is produced.
- Provide a Monthly Finance Sign-Off confirming the status of agreed financial controls, reconciliations and compliance obligations.
- Disclose outstanding material exceptions, required actions and resolution status.
Commercial Terms
The account will be invoiced and paid weekly, reflecting the ongoing finance management, payroll, compliance oversight and monthly Operational Intelligence service.

Clean Up: $120/hr, Hourly: $90/hr
Project Work (or Additional's)
Initial Health Check - Capped at $2,400 + GST
We have allowed $2,400 for the project work outlined. This work will only be undertaken and invoiced where required, once you have confirmed with your accountant that it is not already being addressed. Any urgent compliance work will commence immediately upon engagement.
Sherpa will undertake an initial review of the finance and compliance function to establish the current position, identify priority issues and determine any remediation required.
Health Check Scope
- ATO & Compliance: Review BAS/IAS, PAYG, superannuation and other agreed ATO obligations, identifying overdue or at-risk items.
- ATO Reconciliation: Review ATO accounts against Xero and lodged activity statements.
- Payroll & Super: Review and reconcile payroll, STP, PAYG and superannuation. Identify late, missed or short payments, prepare/release outstanding SGL where applicable, and identify and address any SGC requirements
- Bank & Clearing Accounts: Review reconciliation status of banks, credit cards, payment gateways and clearing accounts.
- GST & Source Documents: Review GST coding and adequacy of supporting documentation.
- AP & AR: Review integrity of receivables, payables and supplier reconciliations.
- Balance Sheet: Review material control accounts, including payroll, tax, director/shareholder and loan accounts.
- Inventory & COGS: Review current inventory accounting and readiness for Cin7 implementation.
- Budget: Review/finalise the budget framework required for ongoing budget-versus-actual reporting.
- Other Exceptions: Identify material bookkeeping, payroll, compliance or financial-control issues requiring attention.
- Urgent Compliance Matters: Any urgent ATO, PAYG or superannuation matters identified during the Health Check will be immediately escalated and, where within Sherpa’s scope, prioritised for lodgement or processing.
- Historical remediation outside these urgent items will be separately scoped and approved before proceeding.
Health Check Output
Sherpa will provide:
- Green / Amber / Red assessment of key finance controls.
- Exceptions & Remediation Register documenting issues identified, priority, action required and status.
- Immediate escalation of urgent ATO, superannuation or other compliance risks.
- Urgent Compliance Action: Where within Sherpa’s scope, prepare and lodge/process urgent PAYG, IAS and superannuation obligations identified during the review.
- Recommended remediation priorities and estimated hours/costs before significant historical remediation proceeds.
- Clear identification of matters requiring accountant or other specialist advice.
- Opening recommendations for the ongoing compliance calendar and finance-control framework.
Historical Remediation
Historical corrections and remediation identified through the Health Check are not included within the capped fee, unless specifically agreed.
Any significant additional work will be scoped and approved before proceeding. Sherpa will maintain an appropriate audit trail of material corrections and liaise with the client's accountant where required.
Cin7 Boundary
Once Cin7 is operational:
Sherpa: Financial reconciliation between Cin7 and Xero, inventory GL reconciliation, purchases/COGS integrity, mapping exceptions, financial investigation and reporting.
Cin7 Consultant / Operations: System configuration, workflows, SKU and product structures, BOMs, warehouse processes, integrations and operational stock controls.
Notes (Fees)
Health Check capped at $2,400 + GST. Historical remediation outside agreed urgent compliance items will be separately scoped and approved before proceeding.
Ongoing Option B service is $5,950 + GST per month, invoiced and paid weekly.
Signature
By submitting this form, you confirm the commencement date is one business day after submission, the fees for your selected package, and that you have read and accepted the Letter of Engagement and this Agreement.
